In accordance with Article 19 of the Articles
of Association for Gloucestershire Airport Limited (the Company),
Councillor Mike Collins is appointed as Director to the Company
with immediate effect.
Reasons for the decision:
Article 19 of the Articles of Association
enables the shareholders to appoint up to two people to be
directors of the Company.
To date, both shareholders (Gloucester City Council and Cheltenham
Borough Council) have limited their appointments to one director
each, with additional appointments being joint appointments of
non-executive directors.
Due to a change in composition of the board, the shareholders have
agreed to each exercise their right to making the additional
appointment, resulting in each shareholder appointing an additional
director.
Alternative options considered:
The shareholders could have decided to make a
joint NED appointment.
