To sign the written resolution to appoint Adrian Tighe, Jeremy Bennett and Mike Moreton as specialist non-executive directors of Gloucestershire Airport Limited.
Reasons for the decision:
Gloucester City and Cheltenham Borough Councils, as the shareholders of Glocuestershire Airport Limited (GAL), have undertaken a comprehensive review of the governance arrangements for GAL. the new GAL Articles of Association make provision for the shareholders to jointly appoint specialist non-executive directors to the GAL Board.
The interview process took place on the 18 and 20 December 2017 and the shareholders slected Adrian Tighe (a specialist in finance), Jeremy Bennett (a specialist in law) and Mike Moreton (a specialist in business) to take up the role of specialist non-executive directors of GAL.
Alternative options considered:
This decision reflects the review of GAL governance and is in accordance with the new Articles of Association. Therefore, no alternative options are appropriate in the circumstances.
